Terms of Service
These Terms of Service (“Terms”) are a legal agreement between you and Writerflow Inc., a Minnesota S-Corporation (“Writerflow,” “we,” “us,” or “our”). They govern your access to and use of writerflow.com, the Writerflow platform, and any related services (collectively, the “Service”).
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
1. Definitions
- “Account” means your registered Writerflow account.
- “Content” means any documents, text, images, files, comments, approval decisions, or other materials you or your users upload, submit, or create through the Service.
- “Reviewer” means an external party who accesses Content through a shared review link, without creating an Account.
- “Subscription” means a paid plan for the Service, as described on our pricing page.
- “User” means any individual who accesses or uses the Service, including Account holders and Reviewers.
2. Account Terms
2.1 Eligibility. You must be at least 18 years old and capable of entering into a binding contract to use the Service. The Service is designed for business use by organizations, not for personal consumer use.
2.2 Account Registration. To access most features, you must create an Account by providing accurate and complete information. You are responsible for maintaining the security of your Account credentials and for all activity that occurs under your Account.
2.3 Organization Accounts. If you create an Account on behalf of an organization (such as a marketing agency), you represent and warrant that you are authorized to bind that organization to these Terms. The organization is the Account owner and is responsible for all Users it authorizes.
2.4 Reviewer Access. Some features allow you to share review links with clients and stakeholders. Reviewers may be asked to provide their name, email address, and company name to access shared content. You are responsible for informing your Reviewers that their information will be collected and processed by Writerflow in accordance with our Privacy Policy.
3. The Service
3.1 Description. Writerflow is an approval orchestration platform that helps teams manage content review and approval workflows. The Service includes document sharing, approval tracking, commenting, and related collaboration features.
3.2 Beta Services
We may offer features or services designated as “beta,” “preview,” “early access,” or similar labels (“Beta Services”). Beta Services are provided “as is” and “as available” without warranty. We may modify or discontinue Beta Services at any time without notice. Beta Services may contain bugs, errors, or incomplete functionality. You acknowledge that Beta Services are not production-ready, and you use them at your own risk.
3.3 Service Modifications. We may update, modify, or discontinue any part of the Service at any time. For material changes that negatively affect your use of the Service, we will make reasonable efforts to notify you in advance. We are not liable for any modification, suspension, or discontinuation of the Service.
3.4 Service Availability. We strive for high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
4. Your Content
4.1 Ownership. You retain all rights, title, and interest in your Content. Writerflow does not claim ownership of any Content you submit to the Service.
4.2 License to Writerflow. By uploading Content to the Service, you grant Writerflow a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, display, and reproduce your Content solely as necessary to provide and operate the Service. This license exists only for the purpose of delivering the Service to you and ends when you delete your Content or close your Account (subject to reasonable backup retention periods).
4.3 No Selling or Training
We will not sell your Content to third parties. We will not use your Content to train machine learning or AI models without your explicit, separate consent.
4.4 Content Responsibility. You are solely responsible for your Content and represent that:
- You own the Content or have the necessary rights to upload it.
- Your Content does not violate any third party’s intellectual property or privacy rights.
- Your Content does not violate any applicable law or regulation.
4.5 Content Deletion. When you delete Content through the Service, we will remove it from our active systems within a reasonable time. Copies may persist in backups for up to 90 days before being permanently deleted.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Upload or transmit malicious code, viruses, or harmful files.
- Attempt to gain unauthorized access to the Service, other accounts, or related systems.
- Interfere with or disrupt the Service, servers, or networks.
- Scrape, crawl, or use automated means to access the Service without our written permission.
- Use the Service to send spam or unsolicited messages.
- Impersonate any person or entity.
- Upload content that is unlawful, defamatory, harassing, or obscene.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Resell, sublicense, or redistribute access to the Service without our written consent.
We reserve the right to suspend or terminate your access if you violate these terms.
6. Intellectual Property
6.1 Writerflow IP. The Service, including its software, design, branding, documentation, and all underlying technology, is owned by Writerflow Inc. and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use Writerflow's trademarks, logos, or branding without our written permission.
6.2 Feedback. If you provide suggestions, feature requests, or other feedback about the Service (“Feedback”), you grant Writerflow a perpetual, irrevocable, royalty-free license to use that Feedback for any purpose, including improving the Service, without obligation to you.
7. Paid Subscriptions
7.1 Pricing and Billing. Paid Subscriptions will be available through our website. Pricing, features, and billing terms will be published on our pricing page. By subscribing, you agree to pay all applicable fees.
7.2 Payment Processing. Payments are processed by Stripe, Inc. Your payment information is handled directly by Stripe and is subject to Stripe's terms and privacy policy. Writerflow does not store your full credit card number.
7.3 Billing Cycle. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
7.4 Refunds. Refund policies will be specified on our pricing page. Unless otherwise stated, fees are non-refundable.
7.5 Price Changes. We may change Subscription prices with at least 30 days' notice before the change takes effect. Continued use after a price change constitutes acceptance.
8. Termination
8.1 Termination by You. You may close your Account at any time by contacting us at support@writerflow.com or through the Account settings in the Service.
8.2 Termination by Writerflow. We may suspend or terminate your access to the Service at any time if:
- You violate these Terms.
- Your use of the Service poses a security risk or could harm other users.
- We are required to do so by law.
- We discontinue the Service (with reasonable notice when feasible).
8.3 Effect of Termination. Upon termination:
- Your right to access the Service ends immediately.
- We will make reasonable efforts to allow you to export your Content for 30 days after termination, unless the termination was due to a Terms violation.
- After the export window, we may delete your Content in accordance with our data retention practices.
- Sections that by their nature should survive (including Sections 4, 6, 9, 10, 11, and 12) will survive termination.
9. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, Writerflow disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure.
- Any defects will be corrected.
- The Service will meet your specific requirements.
- The results obtained from the Service will be accurate or reliable.
Beta Services are provided with no warranties whatsoever. Use of Beta Services is entirely at your own risk.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
10.1 Writerflow's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total amount you paid to Writerflow in the twelve (12) months preceding the claim, or (b) fifty dollars ($50 USD).
10.2 In no event shall Writerflow be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of whether Writerflow was advised of the possibility of such damages.
10.3 These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if any limited remedy fails of its essential purpose.
11. Indemnification
You agree to indemnify, defend, and hold harmless Writerflow Inc., its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service.
- Your Content.
- Your violation of these Terms.
- Your violation of any third-party right, including intellectual property or privacy rights.
12. Dispute Resolution
12.1 Governing Law. These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law provisions.
12.2 Informal Resolution. Before filing any legal action, you agree to attempt to resolve the dispute informally by contacting us at support@writerflow.com. We will attempt to resolve the dispute within 30 days.
12.3 Jurisdiction. Any legal proceedings arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Hennepin County, Minnesota. You consent to the personal jurisdiction of such courts.
13. General Provisions
13.1 Entire Agreement. These Terms, together with the Privacy Policy and any Subscription-specific terms, constitute the entire agreement between you and Writerflow regarding the Service.
13.2 Amendments. We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be communicated via email or prominent notice in the Service at least 15 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
13.3 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
13.4 Waiver. Writerflow's failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
13.5 Assignment. You may not assign your rights under these Terms without our written consent. Writerflow may assign its rights and obligations without restriction (for example, in connection with a merger or acquisition).
13.6 Force Majeure. Writerflow shall not be liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, war, government actions, pandemics, or internet or infrastructure failures.
13.7 No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
